Terms of Service
Effective Date: October 31, 2026
These Terms of Service (“Terms”) govern your access to and use of Solovara, including its mobile applications, websites (including solovara.com and its subdomains), software, services, features, and related offerings (collectively, the “Service”).
The Service is operated by Solovara LLC, a New Mexico limited liability company (“Company,” “we,” “us,” or “our”).
By creating an account, accessing or using the Service, purchasing a paid plan, or selecting an option indicating acceptance of these Terms, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Service.
Our Privacy Policy explains how we collect, use, disclose, retain, and protect information and should be read together with these Terms.
1. Eligibility and Business Use
The Service is intended primarily for individuals and businesses managing commercial or professional service activities.
You represent that:
- you are at least 18 years old and legally capable of entering into a binding agreement;
- information you provide is accurate and complete;
- if you use the Service on behalf of a business or organization, you have authority to bind that organization to these Terms; and
- your use of the Service will comply with applicable laws and regulations.
2. The Service
The Service provides software tools that may assist users with activities including:
- customer management;
- jobs and services;
- scheduling and recurring events;
- pricing;
- estimates;
- invoices;
- payment-status tracking;
- expense tracking;
- communications;
- business information;
- reporting and analytics; and
- related administrative functions.
Features, functionality, limits, and availability may vary by plan, platform, geographic area, account status, or other criteria.
The Company is a software provider only.
We are not a party to the transactions or relationships between you and your customers and do not provide the underlying cleaning, repair, maintenance, contracting, consulting, or other services offered by users of the Service.
3. Free and Paid Plans
The Service may include both free and paid plans.
Each plan may have different:
- features;
- functionality;
- usage limits;
- customer limits;
- invoice limits;
- storage allowances;
- communication allowances;
- automation capabilities;
- advertising experiences; and
- other restrictions or benefits.
The features and limits applicable to a plan will be described through the Service, our website, applicable purchase screen, or other materials provided when the plan is selected.
Free Plans
We may change, limit, replace, discontinue, or introduce new restrictions on a free plan or free feature from time to time.
We do not guarantee that any Service, feature, functionality, usage allowance, or plan will remain free indefinitely.
Paid Plans
Paid plans are subject to these Terms and any additional pricing, billing-period, commitment, cancellation, feature, or usage terms disclosed when the plan is purchased (“Order Terms”).
If Order Terms conflict with these Terms regarding a specific price, billing period, subscription duration, plan limit, or other commercial term, the applicable Order Terms control for that particular commercial term.
4. Limited License; No Transfer of Ownership
Subject to your compliance with these Terms and, where applicable, payment of required fees, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for its intended purposes.
The Service is licensed, not sold.
No ownership interest in the Service is transferred to you.
Your use of the Service does not transfer ownership of:
- our software or source code;
- technology;
- application architecture;
- databases;
- algorithms;
- designs;
- interfaces;
- trademarks;
- service marks;
- trade names;
- documentation; or
- other intellectual property owned or licensed by us.
Except for rights expressly granted under these Terms, all rights are reserved by the Company and its licensors.
5. Early-Release and Evolving Software
The Service is an evolving software offering and may include early-release, evaluation, preview, experimental, newly introduced, or substantially modified functionality.
The Service may contain:
- errors;
- defects;
- omissions;
- delays;
- inaccuracies;
- interruptions;
- synchronization problems;
- calculation errors;
- notification failures;
- data-display errors; or
- other software problems.
You acknowledge that the Service should not be relied upon as the sole source of business-critical information.
You are responsible for reviewing and independently verifying important information, including:
- customer information;
- schedules and appointments;
- recurring events;
- pricing;
- estimates;
- invoices;
- amounts due;
- payment status;
- calculations;
- business records; and
- other information upon which you or your customers may rely.
You should maintain independent copies of records that are important for legal, contractual, tax, accounting, regulatory, or business-continuity purposes. The Service does not currently provide data export (see Section 32), so you are responsible for keeping your own copies of these records.
6. Accounts and Account Security
You are responsible for maintaining the security of your account, devices, authentication methods, email accounts, phone numbers, and other credentials used to access the Service.
You must promptly notify us if you become aware of unauthorized access to your account.
You are responsible for activity occurring through your account to the extent permitted by applicable law.
We may use authentication and identity-verification systems provided by us or third-party providers.
7. Your Business and Your Customers
You are solely responsible for the services you provide to your customers and for operating your business lawfully.
This includes responsibility for:
- setting prices;
- describing and performing services;
- scheduling work;
- obtaining licenses, registrations, or permits;
- maintaining appropriate insurance;
- complying with employment and contractor laws;
- determining and collecting applicable taxes;
- complying with consumer-protection laws;
- obtaining customer approvals and permissions;
- ensuring estimates and invoices are accurate;
- complying with your agreements with customers;
- resolving customer disputes; and
- collecting amounts owed to you.
The Company does not employ, supervise, certify, insure, recommend, or guarantee users of the Service.
Nothing in the Service creates an employment, agency, partnership, franchise, joint venture, fiduciary, or similar relationship between you and the Company.
8. Estimates, Invoices, Schedules, and Customer Payments
The Service may create, display, store, transmit, or assist you in managing estimates, schedules, invoices, payment records, and other business documents.
These records are based on information entered or configured by you.
You remain responsible for reviewing their accuracy.
The Company:
- does not guarantee payment of an invoice;
- does not guarantee collection of amounts owed;
- does not determine whether an amount is legally enforceable;
- does not guarantee delivery of a reminder, message, or notification;
- does not guarantee that a schedule will be error-free;
- is not responsible for disputes between you and your customers; and
- does not verify the legal or accounting accuracy of prices, taxes, calculations, terms, or records entered into the Service.
A payment marked as received within the Service does not necessarily mean that we received, processed, or independently verified that payment.
Your customers may pay you using cash, checks, bank transfers, payment applications, card processors, or other methods outside the Service.
Unless expressly stated otherwise for a particular feature, we are not the merchant, payment processor, escrow provider, collection agency, or guarantor for payments owed to you by your customers.
Integrated Payment Features
We may offer features that allow your customers to pay you through the Service using a third-party payment processor (“Integrated Payments”). If you choose to use Integrated Payments:
- the payment processor, not the Company, processes the payment and transfers funds to you;
- you may be required to accept the payment processor’s own terms and complete its identity-verification and onboarding requirements;
- processing fees, payout timing, holds, and reserves will be disclosed when you enable the feature and may be set by the payment processor;
- you are responsible for refunds, chargebacks, disputes, reversals, and related fees arising from transactions with your customers; and
- we may suspend Integrated Payments if the payment processor requires it or if we reasonably suspect fraud, abuse, or a violation of these Terms.
Integrated Payments do not make the Company a party to your transactions with your customers.
Shared Links
The Service may let you share jobs, estimates, invoices, and similar records with your customers through web pages that we host and that your customers can open without signing in (“Shared Links”).
- Anyone who has a Shared Link can view its contents. You are responsible for sending Shared Links only to the intended recipients and for the information you choose to display through them.
- Shared Links may display payment details or links you provide, such as links to third-party payment applications. You are responsible for the accuracy of those details. Payments made through third-party payment applications occur outside the Service, and we are not responsible for them.
- Shared Links may remain active until the related record or your account is deleted. We may disable or expire Shared Links at any time, including for security reasons, and may introduce expiration or other link settings in the future.
- The restrictions on sensitive information in Section 29 apply to information displayed through Shared Links.
- Your customers’ use of Shared Links does not make them parties to these Terms, and you remain responsible for your relationship with them.
9. Subscription Fees Are Separate From Customer Payments
Fees that you pay us for use of the Service (“Subscription Fees”) are separate from money that your customers pay you for your services.
Your payment of Subscription Fees does not entitle us to ownership of or participation in amounts paid to you by your customers, except for any processing or platform fees expressly disclosed for Integrated Payments or another specific feature.
Likewise, customer payments received by you do not satisfy Subscription Fees owed to us.
10. Paid Subscriptions and Billing
If you purchase a recurring paid plan, the purchase screen or applicable Order Terms will disclose:
- the price;
- billing frequency;
- subscription duration;
- applicable taxes;
- whether the subscription renews automatically;
- any minimum commitment;
- introductory pricing or free-trial terms; and
- applicable cancellation terms.
If a subscription is identified as automatically renewing, it will continue to renew at the applicable billing interval until canceled in accordance with the cancellation method applicable to that subscription, subject to applicable law.
By purchasing an automatically renewing subscription, you authorize the applicable payment provider to charge the payment method associated with the subscription at each renewal.
Where applicable law requires it, we will send you an order confirmation and advance notice before a renewal or a change in price.
We may use third-party payment processors or application marketplaces to process Subscription Fees.
Payment processing may therefore also be governed by the payment provider’s or marketplace’s terms.
11. Billing Through App Stores and Other Third Parties
If you purchase a subscription or other paid feature through Apple App Store, Google Play, or another marketplace or third-party billing provider:
- billing may be processed by that third party;
- cancellation may need to be performed through that third party;
- refund requests may be governed by that third party’s procedures;
- billing dates may be determined by that third party; and
- additional marketplace terms may apply.
We do not control all aspects of third-party billing systems.
Where applicable, the marketplace’s billing terms will control matters that the marketplace itself administers.
12. Direct Billing
If you purchase a paid plan directly from us through our website or another Company-operated purchasing flow, we or our designated payment processor may charge your selected payment method according to the applicable Order Terms.
You authorize us and our payment processor to process applicable recurring or one-time charges.
You are responsible for maintaining current and accurate billing information.
13. Payment Failure
If a required payment fails, is declined, reversed, disputed, or becomes overdue, we may:
- retry the payment;
- request updated payment information;
- restrict paid functionality;
- downgrade the account;
- suspend access to some or all paid features; or
- terminate the paid plan,
subject to applicable law and any required notice.
We may allow a grace period, but are not required to do so unless applicable law or the applicable Order Terms require one.
Downgrading or suspending paid features does not, by itself, delete your User Content.
14. Taxes
Prices may exclude sales, use, value-added, excise, or similar taxes unless stated otherwise.
Where required, applicable taxes may be added to the amount charged.
You remain responsible for taxes associated with your own business activities and transactions with your customers.
15. Cancellation
Free plans. You may stop using a free plan at any time. To end it entirely, delete your account as described in Section 32.
Paid subscriptions. If you purchase a paid subscription, you may cancel it in accordance with the cancellation terms disclosed when you purchase it, as set out in the applicable Order Terms. Subscriptions purchased through an application marketplace may also need to be canceled through that marketplace, as described in Section 11.
16. Refunds
Except where:
- required by applicable law;
- expressly stated in applicable Order Terms;
- provided under a specific promotion; or
- granted at our discretion,
Subscription Fees already paid are non-refundable.
If you purchase through Apple, Google, or another marketplace, refund eligibility and processing may also be subject to the marketplace’s applicable rules.
Nothing in these Terms limits refund or cancellation rights that cannot lawfully be waived.
17. Account Deletion and Paid Subscriptions
Account deletion and subscription cancellation are related but distinct processes.
If your subscription is billed directly by us, completion of account deletion will stop future subscription renewals unless applicable Order Terms or law provide otherwise.
Amounts already paid generally will not be refunded solely because you choose to delete your account, except where required by law or expressly provided by the applicable Order Terms.
If you have prepaid for a longer subscription period and request account deletion before that period ends, you may forfeit access to the unused portion without a prorated refund unless applicable law or the applicable Order Terms require otherwise.
If your subscription is billed through an application marketplace or other third party, deleting your account may not automatically cancel billing administered by that third party. You may need to separately cancel the subscription through the applicable marketplace.
Where applicable, the Service will provide information regarding subscription handling as part of the account-deletion process.
18. Free Trials, Promotions, and Introductory Offers
We may offer:
- free trials;
- promotional pricing;
- introductory pricing;
- discounts;
- referral benefits; or
- other offers.
Additional terms may apply to a particular offer.
A free trial or promotional period will convert into a paid subscription only where that conversion and the applicable price and billing terms are disclosed as part of the enrollment process.
Unless otherwise stated, promotional offers may be modified or discontinued for future users at any time.
19. Plan Changes and Price Changes
You may be permitted to upgrade or downgrade your plan.
The timing and financial effect of a plan change may depend on the applicable purchasing channel and Order Terms.
We may change the pricing of paid plans.
Price changes for existing recurring subscriptions will take effect according to the applicable Order Terms, billing-provider requirements, and applicable law.
Where notice or consent is required for a price change, we will provide it as required.
20. User Content
You may provide information and materials to the Service, including:
- business information;
- customer names;
- contact information;
- addresses;
- jobs;
- schedules;
- pricing;
- estimates;
- invoices;
- expenses and receipts;
- notes;
- photographs;
- logos;
- files;
- communications; and
- other information.
Collectively, these materials are “User Content.” Information about your customers within User Content is “Customer Information.”
As between you and the Company, you retain ownership of your User Content.
You grant us a non-exclusive, worldwide license to host, store, reproduce, transmit, display, process, back up, and technically modify User Content as reasonably necessary to:
- operate the Service;
- provide requested functionality, including the personalization features described in Section 26;
- maintain security;
- troubleshoot problems;
- prevent abuse;
- provide support;
- comply with legal obligations; and
- otherwise fulfill our obligations under these Terms.
This license does not transfer ownership of your User Content to us.
21. Customer and Third-Party Information
You may provide information concerning customers and other third parties to the Service.
You represent that you have the rights, permissions, notices, authority, and lawful basis reasonably necessary to provide that information to the Service and instruct us to process it.
You are responsible for determining whether you may lawfully:
- collect;
- retain;
- upload;
- photograph;
- communicate;
- process; or
- otherwise use
information concerning your customers and other third parties.
Our Role With Customer Information
Your customers are your customers, not ours. We process Customer Information on your behalf and at your direction, to provide the Service to you. Specifically, we will not:
- sell Customer Information;
- contact your customers for our own marketing or to solicit them for any other business;
- use Customer Information to target or personalize advertising; or
- share Customer Information with third parties except service providers that help us operate the Service, as required by law, or as you direct.
Communications sent to your customers through the Service are sent on your behalf and at your instruction.
22. Aggregated and De-Identified Information
We may create aggregated, statistical, and/or de-identified information derived from use of the Service.
We may use this information for lawful business purposes, including to:
- operate and improve the Service;
- understand feature usage;
- evaluate product performance;
- identify trends;
- improve recommendations;
- develop new products and features;
- improve pricing, scheduling, workflow, and analytical tools;
- conduct research and statistical analysis; and
- improve offerings for users generally.
Information used under this section will be maintained in a form that does not reasonably identify an individual user or customer.
We will not attempt to re-identify information that we maintain as de-identified except as permitted by applicable law for purposes such as testing whether de-identification methods remain effective.
This section does not permit us to use your User Content to train general-purpose or foundation artificial-intelligence models. Our use of User Content for artificial intelligence is governed by Section 26.
Our handling of identifiable personal information is governed by our Privacy Policy.
23. Feedback and Suggestions
If you voluntarily provide ideas, recommendations, suggestions, feature requests, concepts, or other feedback concerning the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, develop, commercialize, and incorporate that Feedback into our products and services without compensation or obligation to you.
This provision does not transfer ownership of your User Content.
24. Communications
The Service may enable or facilitate email, SMS, notifications, or other communications.
You are responsible for ensuring that communications you initiate through or in connection with the Service, including messages drafted with the help of automated or AI features, comply with applicable law and that you have obtained any required permission or consent.
You may not use the Service to send:
- spam;
- unlawful marketing;
- deceptive communications;
- harassment; or
- communications to recipients whom you do not have a lawful basis or appropriate permission to contact.
Administrative communications concerning authentication, security, billing, account deletion, Service operation, or similar matters may be sent as reasonably necessary to operate your account.
25. Advertisements and Promotional Content
The Service may display:
- advertisements;
- sponsorships;
- promotions;
- recommendations; or
- other commercial content.
Advertising may be displayed on free plans, paid plans, or particular Service areas as disclosed in the applicable plan description, including on Shared Links viewed by your customers.
A paid subscription should not be assumed to be advertising-free unless the applicable plan is expressly described as advertising-free.
The format, frequency, size, placement, and presentation of advertisements may change.
Unless we expressly provide such functionality or applicable law requires otherwise, users may not be able to:
- choose advertisements;
- select advertisement categories;
- customize advertisement placement;
- control advertisement frequency;
- remove advertisements; or
- otherwise “tune” the advertising experience.
Displaying an advertisement does not constitute our endorsement or warranty of the advertiser or its products or services.
Advertisers remain responsible for their advertisements, products, services, representations, and transactions.
Customer Information is never used to select, target, or personalize advertisements. If information about you (as the account holder) is used for personalized or targeted advertising, applicable practices and available choices will be described in our Privacy Policy and handled in accordance with applicable law and platform requirements.
26. Artificial Intelligence, Automated Features, and Personalization
The Service may offer automated, algorithmic, or artificial-intelligence-assisted functionality, including recommendations, classifications, summaries, pricing suggestions, message drafts, or other generated outputs (“AI Features”).
Review Before You Rely
Outputs of AI Features may be incomplete, inaccurate, inappropriate, or unsuitable for a particular circumstance.
AI Features are provided as assistance only and should not replace your independent judgment.
You remain responsible for reviewing decisions, prices, schedules, estimates, communications, invoices, and other business actions before relying upon them or communicating them to others. This includes reviewing any AI-drafted message before it is sent to a customer.
Personalization
We may use your User Content to personalize AI Features for your account, such as pricing suggestions, scheduling recommendations, or message drafts that reflect how you run your business.
Any model, setting, or profile adapted from your User Content is used only for your account and is not shared with or used for other users.
No Training of General-Purpose Models
We do not use your User Content to train general-purpose or foundation artificial-intelligence models.
Third-Party AI Providers
AI Features may be powered by third-party AI providers. When we use them, we share only the information needed to provide the feature, and we require those providers to protect it and not to use your User Content to train their models.
Ownership of Outputs
As between you and the Company, you own the outputs generated by AI Features from your User Content, and you may use them in your business. Similar outputs may be generated for other users, and you do not acquire rights to outputs generated for others.
27. No Professional Advice
The Service does not provide:
- legal advice;
- tax advice;
- accounting advice;
- employment advice;
- insurance advice;
- investment advice;
- financial advice; or
- other regulated professional advice.
You should obtain appropriate professional advice when necessary.
28. Third-Party Services
The Service may rely upon or interact with third-party products and services, including:
- cloud infrastructure;
- authentication services;
- email, SMS, and push-notification providers;
- app stores;
- payment processors;
- artificial-intelligence providers;
- mapping services;
- analytics providers; and
- other technology vendors.
We do not control third-party services.
To the maximum extent permitted by applicable law, we are not responsible for outages, failures, security incidents, policy changes, delays, or other problems caused by third-party services outside our reasonable control.
Your use of certain third-party services may also be governed by their terms and policies.
29. Prohibited Use
You may not use the Service:
- for unlawful, fraudulent, deceptive, or abusive purposes;
- to violate another person’s privacy or intellectual-property rights;
- to impersonate another person;
- to gain unauthorized access to accounts, systems, or data;
- to interfere with or disrupt the Service;
- to distribute malware or malicious code;
- to circumvent feature restrictions, plan limits, or technical controls;
- to reverse engineer the Service except where applicable law prohibits such a restriction;
- to systematically scrape or extract information without authorization;
- to send spam or unlawful communications;
- to test or probe Service security without authorization; or
- in a manner that materially harms the Service, the Company, another user, or a third party.
You also may not enter into notes, descriptions, or other free-text fields, or include in uploaded files or images, any full payment card numbers, bank account credentials, Social Security numbers, government identification numbers, passwords, or similar sensitive information about yourself or your customers. The Service is not designed to store that information, and we are not responsible for it if entered.
30. Service Availability, Data Integrity, and Changes
We seek to provide a reliable Service, but do not guarantee:
- continuous availability;
- uninterrupted operation;
- error-free operation;
- delivery of every notification or communication;
- permanent preservation of data;
- recovery of deleted or corrupted information;
- compatibility with every device;
- that defects will always be corrected; or
- that any particular feature will remain available indefinitely.
Maintenance, upgrades, outages, technical failures, security events, and third-party failures may affect availability.
We may add, remove, modify, replace, or discontinue features for technical, security, legal, operational, product, or business reasons.
For material changes that adversely affect an already-paid subscription, we will provide any notice, remedy, or other treatment required by applicable law or the applicable Order Terms.
31. Suspension and Termination
We may suspend, restrict, or terminate access to some or all of the Service if:
- you violate these Terms;
- required fees remain unpaid;
- your use creates a security or legal risk;
- we reasonably suspect fraud, abuse, or unauthorized activity;
- continued access could harm us, another user, or a third party;
- we are required to act by law;
- we discontinue the applicable Service; or
- suspension or termination is reasonably necessary for legitimate operational or business reasons.
We may act immediately where reasonably necessary to protect systems, users, data, or third parties.
We may otherwise terminate the license granted under these Terms or discontinue all or part of the Service, subject to applicable notice requirements.
If we terminate your account or discontinue the Service for reasons other than your breach, misconduct, nonpayment, legal requirements, or security concerns, we will give you at least 30 days’ notice before your User Content is deleted, so that you can make copies of records you need, unless applicable law requires otherwise.
If we terminate a prepaid paid Service for our convenience rather than because of your breach, misconduct, nonpayment, legal requirements, security concerns, or another circumstance attributable to you, we will provide any refund or credit required by applicable law or applicable Order Terms.
Termination does not transfer ownership of any portion of the Service to you.
32. Account Deletion and Data Export
Data Export
The Service does not currently provide data export. Because account deletion is permanent, you should keep your own copies of any records you need, such as Customer Information, jobs, estimates, and invoices, before requesting account deletion.
Account Deletion
You may request deletion of your account using the deletion functionality we make available through the Service or another deletion-request method we provide.
Following a valid deletion request, we will delete or de-identify information associated with the account in accordance with our Privacy Policy and applicable law. This includes any account-specific personalization described in Section 26.
Deletion may require reasonable processing time.
Account deletion does not require us to delete information that applicable law permits or requires us to retain.
33. Data Retention Following Account Deletion
Following account deletion, we may retain limited information where retention is reasonably necessary or permitted to:
- comply with law or legal process;
- satisfy legal, tax, accounting, or regulatory obligations;
- establish, exercise, or defend legal claims;
- resolve disputes;
- enforce agreements;
- prevent fraud, abuse, or misuse;
- investigate security incidents;
- protect the rights or safety of users, the Company, or others; or
- maintain records that we are legally required to retain.
Information retained for these purposes will be retained only for as long as reasonably necessary for the applicable purpose or as otherwise required by law.
Aggregated or de-identified information that no longer reasonably identifies you or your customers may be retained and used as described in these Terms and our Privacy Policy.
34. Privacy
Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy, which also lists the categories of service providers that process information on our behalf.
Where the Service requests access to device capabilities such as contacts, photographs, camera functionality, notifications, location, or other protected resources, additional platform or device permissions may apply.
35. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE ERROR FREE;
- INFORMATION, INCLUDING OUTPUTS OF AI FEATURES, WILL ALWAYS BE ACCURATE OR COMPLETE;
- DATA WILL NEVER BE LOST OR CORRUPTED;
- EVERY NOTIFICATION OR COMMUNICATION WILL BE DELIVERED;
- THE SERVICE WILL ALWAYS BE AVAILABLE;
- DEFECTS WILL ALWAYS BE CORRECTED;
- THE SERVICE WILL MEET YOUR PARTICULAR BUSINESS REQUIREMENTS; OR
- USE OF THE SERVICE WILL RESULT IN REVENUE, CUSTOMERS, PAYMENTS, BUSINESS GROWTH, OR ANY PARTICULAR OUTCOME.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.
36. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, CUSTOMERS, GOODWILL, DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID DIRECTLY TO THE COMPANY FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) US $100.
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
THE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
37. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from or relating to:
- your business activities or services;
- your relationship with your customers, including payments, refunds, and chargebacks;
- User Content you provide;
- your collection or use of third-party information;
- communications you send through the Service, including AI-drafted messages you choose to send;
- your violation of applicable law;
- your violation of these Terms;
- your violation of another person’s rights; or
- misuse of the Service through your account.
We may assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate.
38. Compliance With Law and Trade Restrictions
You may use the Service only in compliance with applicable laws.
You may not use, export, re-export, transfer, or provide access to the Service where doing so would violate applicable United States export-control, sanctions, or trade laws.
39. Governing Law and Venue
These Terms and any dispute arising from or relating to these Terms or the Service are governed by the laws of the State of New Mexico, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.
Subject to rights that cannot lawfully be waived, you and the Company agree that judicial proceedings arising from or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Bernalillo county, New Mexico, and each party consents to jurisdiction and venue in those courts.
Nothing in these Terms limits rights or remedies that cannot lawfully be waived.
40. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may provide notice:
- through the Service;
- by email;
- on our website; or
- through another reasonable method.
Where applicable law requires consent, or where we determine affirmative acceptance is appropriate because of the nature of a change, we may require you to accept updated Terms before continuing to use some or all of the Service.
We will not apply a change that permits broader use of your User Content for artificial-intelligence training, or broader sharing of Customer Information, to content you provided before the change without your affirmative consent.
The Effective Date identifies the current version.
41. Electronic Communications and Acceptance
You consent to receive agreements, notices, disclosures, confirmations, billing information, and other communications relating to the Service electronically, including through the Service or by email.
Your electronic acceptance of these Terms is intended to have the same effect as signing a written agreement to the extent permitted by applicable law.
You are responsible for maintaining current contact information associated with your account.
42. App Stores
If you obtain the Service through Apple App Store, Google Play, or another application marketplace, your use may also be subject to marketplace terms.
Nothing in these Terms is intended to modify rights or obligations that cannot be modified under applicable marketplace requirements or applicable law.
The applicable marketplace is not responsible for promises we make that are expressly ours under these Terms except to the extent its own terms provide otherwise.
43. Assignment and Business Reorganization
You may not assign or transfer these Terms or your rights under them without our prior written consent.
We may assign or transfer these Terms and associated rights and obligations in connection with:
- a merger;
- acquisition;
- financing;
- corporate conversion;
- corporate reorganization;
- sale of assets;
- change of control;
- transfer of intellectual property;
- transfer of the Service; or
- transfer of relevant business operations
to another entity.
A permitted successor may assume the Company’s rights and obligations under these Terms, and will remain bound by the commitments in these Terms regarding Customer Information and artificial-intelligence use.
This provision is intended to permit the Service and associated contractual relationships to continue if the operating company is reorganized, converted, acquired, or transferred to another entity.
44. Force Majeure
We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, utility failures, telecommunications failures, internet outages, cloud-service failures, governmental actions, labor disruptions, civil disturbances, war, terrorism, epidemics, or comparable events.
45. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.
The unenforceable provision will, where legally permitted, be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.
46. No Waiver
Failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.
47. Entire Agreement
These Terms, the Privacy Policy where incorporated by law or expressly referenced, applicable Order Terms, and any other terms expressly incorporated into them constitute the agreement between you and the Company regarding the Service.
They supersede prior agreements or understandings concerning the same subject matter.
